Hotspot Owner Agreement

By purchasing ZapNet equipment and operating a hotspot, you agree to this Agreement. It governs how you run a ZapNet hotspot and earn from it.

1. The arrangement

• You purchase ZapNet equipment outright. On full payment, ownership of the hardware passes to you.
• You operate the hotspot at your premises using your own internet line and electricity.
• ZapNet provides the platform: the captive portal, billing, RADIUS authentication, and the wallet via E Pay.
• You are an independent operator. This Agreement does not create employment, partnership, or agency beyond what is stated here.

2. Equipment

• Equipment is sold as described at the point of sale. Once ownership passes to you, you are responsible for its care, security, and replacement if lost or damaged.
• You may not modify the ZapNet configuration in a way that bypasses billing, the captive portal, or fair-use controls.
• Manufacturer warranties (if any) apply as stated; ZapNet is not the hardware manufacturer.

3. Revenue share & payments

• You earn a share of [__]% of net revenue from WiFi bundles sold through your hotspot, calculated per the rate in effect at the time of sale.
• Earnings are credited to your E Pay wallet and settled per the payout schedule and minimums published from time to time.
• ZapNet may deduct payment-processing fees, refunds, chargebacks, and applicable taxes before settlement.
• You are responsible for your own tax obligations on income earned.

4. Your internet line

You must provide a suitable internet connection and power at the site. Service quality at your hotspot depends on your line and is your responsibility. ZapNet is not liable for poor performance, outages, or data costs arising from your connection.

5. Legal obligations (FICA, RICA, POPIA)

• RICA: Operating public WiFi may carry obligations under the Regulation of Interception of Communications Act, 2002. You must cooperate with ZapNet and the authorities in meeting any lawful retention or disclosure requirements.
• FICA: Where required for payouts and verification, you must complete identity verification (FICA) and provide accurate banking and identity details.
• POPIA: You must not attempt to access, collect, or misuse the personal information of users connecting to your hotspot. User data is processed by ZapNet as Responsible Party.

6. Your conduct

• Operate the hotspot lawfully and not in a way that harms users, ZapNet, or the network.
• Do not misrepresent the service, pricing, or speeds to users.
• Do not resell, sublicense, or rebrand the ZapNet platform without written consent.

7. Liability

To the maximum extent permitted by law, ZapNet is not liable to you for indirect or consequential loss, lost earnings from outages, or matters arising from your line, power, premises, or conduct. Nothing excludes liability that cannot be excluded under South African law.

8. Suspension & termination

We may suspend platform access or terminate this Agreement for breach, unlawful conduct, non-payment, or where required by law. On termination, your platform access ends; you retain ownership of equipment you have fully paid for, but it will no longer connect to the ZapNet platform.

9. Changes

We may update this Agreement and the revenue-share rates from time to time, with notice via your registered contact details or the dashboard. Continued operation after an update constitutes acceptance.

10. Governing law

This Agreement is governed by the laws of the Republic of South Africa.
