Hotspot Owner Agreement

This Agreement is between E Pay GROUP [Pty] Ltd [Registration No. ____________], [Registered address, South Africa] (“ZapNet”, “we”) and the person or business operating a ZapNet hotspot (the “Hotspot Owner”, “you”).

By purchasing ZapNet equipment and operating a hotspot, you agree to this Agreement. It governs how you run a ZapNet hotspot and earn from it.

4. Your internet line

You must provide a suitable internet connection and power at the site. Service quality at your hotspot depends on your line and is your responsibility. ZapNet is not liable for poor performance, outages, or data costs arising from your connection.

7. Liability

To the maximum extent permitted by law, ZapNet is not liable to you for indirect or consequential loss, lost earnings from outages, or matters arising from your line, power, premises, or conduct. Nothing excludes liability that cannot be excluded under South African law.

8. Suspension & termination

We may suspend platform access or terminate this Agreement for breach, unlawful conduct, non-payment, or where required by law. On termination, your platform access ends; you retain ownership of equipment you have fully paid for, but it will no longer connect to the ZapNet platform.

9. Changes

We may update this Agreement and the revenue-share rates from time to time, with notice via your registered contact details or the dashboard. Continued operation after an update constitutes acceptance.

10. Governing law

This Agreement is governed by the laws of the Republic of South Africa.

For a countersigned copy, ZapNet may require you to accept this Agreement electronically at onboarding or to sign a physical/AES e-signed counterpart. Acceptance is recorded against your reseller account.
Working document. Because this involves equipment sales, revenue share, FICA payouts, and RICA duties, have a South African attorney review before issuing to hotspot owners. Confirm the revenue-share percentage and payout terms before publishing.
